OPENSTORY™ TERMS OF USE

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION:

1. Acceptance of the Terms of Use

These Openstory Terms of Use (the "Terms") govern your access to and use of Openstory's mobile applications, websites, web apps, and any related pages, platforms, services, tools, features, or content made available through them (collectively, the "Services"), provided by Openstory Inc. (together with its affiliates, "Openstory," "we," "us," or "our").

By accessing or using the Services, creating or logging into an account, submitting or publishing User Postings, using creation/fan-creation features, and/or clicking a button indicating acceptance, you agree to: (1) these Terms, (2) our then-current community standards, content rules, and upload guidelines, and (3) any additional terms applicable to certain features, offerings, or programs (collectively, the "Agreement"). You also acknowledge that you have read and understand our Privacy Policy, which is incorporated by reference.

If you do not agree to the Agreement, you must not access or use the Services.

If you use the Services on behalf of another person or entity, you represent that you have authority to bind that person or entity, and "you" includes that person or entity.

2. Changes to the Terms of Use

We may revise this Agreement from time to time by posting an updated version within the Services. We may provide notice of material changes via email, in-app notice, or by updating the "Last Updated" date above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Agreement. If you do not agree, you must stop using the Services.

3. Definitions

  • a) "Vit" means a virtual currency, credit, or similar unit that may be purchased and/or earned to access certain content or features within the Services.
  • b) "Creator Profiles" means profile pages, creator pages, and related features that allow users to customize and display information (in whole or part) to other users for discovery, feedback, interaction, or community purposes.
  • c) "Digital Content" means webtoons, webcomics, web novels, serialized episodes, digitized comics, animations, sound effects, artwork, text, metadata, and other digital content made available through the Services, including content licensed from third parties.
  • d) "Openstory Website" means any website or web application owned or controlled by Openstory.
  • e) "Openstory App" means Openstory's applications, readers, creation tools, storefronts, and related software (including updates) through which you may browse, access, read, stream, download (where permitted), create, upload, interact with, or otherwise use Digital Content or other features.
  • f) "User Postings" means any content you or other users submit, upload, publish, or otherwise make available through the Services, including text, data, prompts, images, audio, video, comments, reviews, fan works, adaptations, and related materials.

4. Ownership and Licenses (Digital Content and User Postings)

4.1 IP-Centered Structure and Creator

Certain features of the Services are organized around intellectual property ("IP") owned or controlled by IP Owners. IP Owners may grant, limit, or revoke creation rights to other users in accordance with applicable policies or additional terms. Creator roles and permissions may differ depending on the applicable IP, feature, or program, and certain creation activities require separate approval or agreement. Additional terms may apply to Creators, including terms governing compensation, fan support, and content ownership.

4.2 Ownership of the Services and Digital Content

You acknowledge that the Services are owned and operated by Openstory. Digital Content is owned by Openstory and/or licensed to Openstory by the applicable rights holders. The Services and all underlying software, interfaces, designs, compilations, "look and feel," trademarks, logos, trade dress, and other elements are protected by intellectual property and other laws in the United States and elsewhere. No ownership interest in the Services or Digital Content is transferred to you.

4.3 License of Digital Content to You

Subject to this Agreement, Openstory grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Digital Content solely for your personal, non-commercial use through the Services and only where the content is made available. Digital Content is licensed, not sold, and you receive no ownership rights in Digital Content.

If offline download is permitted for certain content, it may be time-limited and subject to expiration, deletion, and device/account restrictions.

4.4 Restrictions

Except as expressly permitted by Openstory in writing (or through an explicit in-product permission), you may not:

  • copy, reproduce, redistribute, transmit, sell, rent, lease, publicly perform, publicly display, broadcast, publish, modify, translate, or create derivative works from Digital Content;
  • remove or alter copyright or other proprietary notices; or
  • circumvent DRM, encryption, rights signaling, or copy-protection measures.

You may not use Digital Content in an unlawful, infringing, or harmful manner.

4.5 Fan Creations / Derivative Works / Secondary Use (U.S. Law Alignment)

Openstory may provide features that allow you to create, upload, publish, or share fan works, remixes, edits, adaptations, commentary, or other derivative/transformed materials (collectively, "Fan Creations"), including by using tools that reference or interact with Digital Content.

No implied license. Unless Openstory expressly grants permission (e.g., via feature rules or explicit written license), you do not receive rights to create or exploit derivative works of Digital Content owned or licensed by Openstory or third parties.

You are solely responsible. If you create, upload, share, distribute, or monetize any Fan Creation (inside or outside the Services), you represent and warrant that you have all required rights, permissions, or a valid legal basis under applicable law (including U.S. copyright law). You bear all legal risk for Fan Creations, including claims of infringement, trademark issues, right of publicity, privacy violations, or other violations.

Openstory does not provide legal advice and does not guarantee that any Fan Creation qualifies as "fair use" or otherwise lawful.

Openstory may remove or restrict access to Fan Creations at any time to comply with law, respond to complaints (including DMCA notices), enforce policies, or mitigate risk.

5. Openstory Website and Openstory App

5.1 License to Use the Services

You may use the Services only as permitted by this Agreement. You may not separate, distribute, sublicense, or provide the software over a network except as intended by Openstory. We do not guarantee that the Services will be error-free or will reflect preferences/actions immediately.

5.2 Account Registration and Security

Some features require an account. You are responsible for maintaining accurate information, protecting your credentials, and all activities under your account. Notify us promptly of suspected unauthorized access. You may not use another person's account without permission.

5.3 Updates

We may provide updates for security, compatibility, and functionality. If you do not install updates, parts of the Services may not function properly or securely.

5.4 Prohibited Technical Conduct

You may not reverse engineer, decompile, disassemble, or attempt to derive source code from the Services, nor bypass or defeat security measures.

6. Conditions of Use

6.1 Minimum Age

You must be at least 13 years old (or the minimum age required by your jurisdiction, if higher). If you are a minor under applicable law, you may use the Services only with a parent/guardian who agrees to be bound by this Agreement and is responsible for your activities. We may request age/consent verification and may suspend/terminate access if representations are inaccurate.

6.2 Acceptable Use

You may not use the Services to violate any law or to harm Openstory, users, licensors, or third parties. You may not, without limitation:

  • impersonate others or misrepresent affiliation;
  • share accounts or allow others to use your account;
  • perform unauthorized crawling/scraping or harvesting (including personal information);
  • overload infrastructure or interfere with operation;
  • probe, scan, or breach security;
  • reverse engineer or defeat protections;
  • send spam or unauthorized advertising;
  • engage in conduct that restricts others' enjoyment or creates liability risk.

6.3 Compliance; Reservation of Rights

You must comply with applicable laws. All rights not expressly granted are reserved by Openstory.

6.4 Moderation

We may use automated and human moderation tools to review and moderate content for compliance with this Agreement, policies, and law, and may remove content or apply penalties at our discretion.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, share, and protect personal information in accordance with applicable U.S. law (and other applicable laws as relevant).

We do not knowingly collect personal information from children under 13 without required parental consent. If you believe a child provided information without proper consent, contact us and we may delete it as required.

If you use third-party login/integrations, those third parties may collect information under their own policies.

Public areas of the Services may be visible to others; use caution when sharing personal information.

You consent to receive service-related communications (including notices and updates) through methods we choose (e.g., email, in-app).

8. User Postings; Feedback

8.1 License to Openstory

For any User Posting you submit or publish, you grant Openstory (to the maximum extent permitted by law) a non-exclusive, perpetual, irrevocable, royalty-free, worldwide, transferable, sublicensable license to host, cache, store, reproduce, transmit, adapt, modify, create derivative works from, publicly perform, publicly display, publish, distribute, monetize, and otherwise use and exploit your User Postings for operating, improving, securing, marketing, and providing the Services, in any media now known or later developed, for the full term of applicable rights.

This includes the right to use User Postings (in whole or part) for promotional purposes (e.g., discovery, emails, ads, social, app store materials), subject to applicable law and our Privacy Policy.

8.2 AI/ML Processing

To the extent permitted by law and subject to our Privacy Policy, you agree that Openstory may process User Postings and related data to develop, train, test, and improve ranking, recommendation, moderation, personalization, and other features, including machine-learning and generative systems.

8.3 Your Representations

You represent and warrant that you have all rights necessary to submit User Postings and grant the above license, and that your User Postings (including Fan Creations) do not violate law or third-party rights (copyright, trademark, publicity, privacy, etc.). You are solely responsible for your User Postings and any resulting claims.

8.4 Feedback

If you submit feedback, suggestions, or ideas, you agree Openstory may use them without restriction or compensation, and you assign to Openstory any rights you may have in such feedback to the extent permitted by law.

9. Advertisements and Third-Party Services

We may display advertisements in the Services. The Services may also link to or integrate third-party services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

10. Vit (Virtual Currency / Credits)

Certain content or features may require Vit. Vit is not legal tender, has no real-world monetary value, and does not constitute property. You receive a limited, revocable license to use Vit only within the Services as permitted.

10.1 Issuance and Use

  • Vit may be obtained by methods we specify within the Services, including purchases, promotions, or other offers.
  • Vit may be redeemed only for content or features made available through the Services and only as displayed at the time of redemption.

10.2 Limits

  • Monthly top-up limit: your total purchases (top-ups) of Vit may not exceed USD $3,000 (or the equivalent amount in your local currency) per calendar month, across any and all accounts you hold, as determined by Openstory.
  • Holding limit: your Vit balance may not exceed USD $30,000 (or the equivalent amount in your local currency) at any time, as determined by Openstory.

Openstory may implement additional limits, modify limits, or impose risk controls to the extent permitted by law. Any applicable limits and rules will be displayed in the Services.

10.3 No Transfer; Platform Constraints

  • You may not sell, gift, trade, transfer, or exchange Vit outside the Services, nor attempt to do so.
  • Vit may be subject to platform constraints (e.g., operating system, account, region, language) and may not be transferable across platforms or outside the Services.

10.4 Final Sale; Refunds; Discontinuance

  • Except where required by law, purchases of Vit are final and non-refundable.
  • We may refuse, reverse, or limit transactions we reasonably believe are unauthorized, fraudulent, suspicious, or otherwise violate this Agreement.
  • We may discontinue Vit with notice where required by law. To the extent permitted by law, unused Vit may expire on the discontinuance date.

11. Fees

You may be required to pay fees for Vit or other paid features ("Service Fees"). You authorize us (and our payment processors) to charge your payment method for applicable fees and taxes. Prices and fees may change; additional fees may apply for new features, with notice where required.

12. Creator Rewards and Payouts

The Services may offer features that allow creators to receive rewards or similar compensation, including through fan support or other engagement-based mechanisms. Such rewards do not constitute wages, employment, partnership, or guaranteed income, and creators are not employees or agents of Openstory. Any payouts are subject to eligibility requirements, compliance with applicable tax laws, and adherence to Openstory's policies and procedures, including the submission of required tax or payment information. Openstory reserves the right, to the extent permitted by law, to modify, suspend, or discontinue any reward or payout feature, in whole or in part, at its sole discretion.

13. Termination and Suspension

You may stop using the Services at any time. We may modify, suspend, or terminate the Services (in whole or part) at any time, with or without notice, and may suspend/terminate accounts for violations, risk mitigation, or legal compliance. Upon termination, you must stop using the Services and any licensed Digital Content. Failure to enforce any provision is not a waiver.

14. Disclaimer of Warranties

THE SERVICES AND DIGITAL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, SATISFACTORY QUALITY, NON-INFRINGEMENT, OR SECURITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not guarantee uninterrupted, error-free, or secure operation, nor absence of harmful components. Some jurisdictions limit disclaimers; in that case, they apply to the maximum extent permitted.

15. Limitation of Liability

TO THE MAXIMUM EXTENT NOT PROHIBITED BY LAW, OPENSTORY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THE SERVICES, DIGITAL CONTENT, OR USER POSTINGS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENSTORY'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO OPENSTORY FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF NONE, $100), UNLESS A HIGHER AMOUNT IS REQUIRED BY LAW.

16. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Openstory, its affiliates, and their officers, directors, employees, agents, partners, and licensors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your User Postings or Fan Creations, (c) your violation of this Agreement, (d) your violation of law, or (e) any allegation that your User Postings or Fan Creations infringe or violate third-party rights (copyright, publicity, privacy, trademark, etc.).

17. Governing Law; Venue (Non-Arbitration Matters)

Except where federal law applies, this Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

To the extent a dispute is not subject to arbitration (Section 17), you agree that it will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction and venue there. We may seek injunctive or equitable relief in any court of competent jurisdiction to protect our rights.

18. Arbitration and Class Action Waiver

PLEASE READ CAREFULLY. BY AGREEING TO ARBITRATION, YOU WAIVE THE RIGHT TO GO TO COURT AND HAVE A JUDGE OR JURY DECIDE MOST DISPUTES.

18.1 Informal Resolution (Notice of Dispute)

Before initiating arbitration, you or Openstory must send a written Notice of Dispute including: name, address, contact details, facts giving rise to the dispute, and proposed resolution.

The parties will attempt good-faith informal resolution for 60 days after the Notice is sent. If not resolved, either party may commence arbitration where permitted.

18.2 Arbitration Provider; Rules

Any arbitration will be administered by JAMS or another nationally recognized arbitration provider designated by Openstory, under the provider's applicable rules in effect at the time the arbitration is filed, to the extent permitted by law. Hearings may be conducted by phone/video unless an in-person hearing is required for good cause.

18.3 Class Action Waiver

All proceedings will be conducted only on an individual basis. No class actions, class arbitrations, representative actions, or private attorney general actions are permitted to the maximum extent allowed by law. The arbitrator may not consolidate claims without written consent of all parties.

If a court determines that the class waiver is unenforceable for a particular claim or remedy, then that claim/remedy will be decided by a court after the remaining arbitrable claims are arbitrated.

18.4 Fees; Attorneys' Fees

Fees will be allocated under the arbitration provider's rules and applicable law. Each party bears its own attorneys' fees and expenses unless an award is authorized by applicable law.

18.5 Timing

To the extent permitted by law, any dispute must be filed within the applicable statute of limitations. Any contractual shortening of limitations applies only if and to the extent permitted by law.

18.6 Opt-Out

You may opt out of arbitration within 30 days of first accepting this Agreement by sending your name, address, username (if any), and the account email/phone with a clear opt-out statement to cs@openstory.me. If you opt out, disputes will be resolved under Section 16.

18.7 Third-Party Beneficiaries

Openstory's affiliates, agents, employees, licensors, and service providers are intended third-party beneficiaries of this Section 17.

19. Entire Agreement; Severability

This Agreement is the entire agreement between you and Openstory regarding the Services and supersedes prior agreements on the same subject. If any provision is held invalid or unenforceable, it will be severed and the remainder will remain in full force.
